You agree to be bound by these Terms by accessing or using our services. If you do not agree with any part of these Terms, please refrain from accessing or using our services.

License and Intellectual Property

The software, code, and documentation provided by the National Symposium for Debate LLC ("NSD") are the exclusive property of NSD and are licensed, not sold, to you under this Software License Agreement. By using any NSD software, code, or documentation, you acknowledge and agree to the following terms:

NSD grants you a non-exclusive, non-transferable, limited right to use the provided software, code, and documentation solely for personal or internal business purposes. This license does not permit modification, distribution, resale, or creation of derivative works. All intellectual property rights remain with NSD. You are prohibited from reverse engineering, decompiling, or disassembling the software except as permitted by law.

The software, code, and documentation are provided "as is" without express or implied warranties. NSD disclaims any liability for indirect or consequential damages arising from using the software. This Agreement is governed by the laws applicable where NSD operates.

Your use of NSD's software, code, or documentation implies acceptance of these terms. You are not authorized to use the software if you do not agree to these terms.

User Conduct

When using our services, you agree to:

a. Use the services in compliance with all applicable laws and regulations.

b. Respect the intellectual property rights of Debate Land and others.

c. Refrain from engaging in any activity that may disrupt or interfere with the proper functioning of our services.

d. Refrain from attempting to gain unauthorized access to our systems or interfere with the security of our services.

e. Provide accurate and up-to-date information when required.

Privacy

Your privacy is important to us. Please refer to our Privacy Policy to understand how we collect, use, and protect your personal information. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

Mailing List Subscription

By subscribing to updates for teams, accounts, or judges, you consent to be added to our mailing list. You may receive periodic emails containing information related to our services, updates, announcements, or promotional materials. You can unsubscribe from our mailing list at any time by following the instructions provided in the dashboard or by contacting us directly.

Limitation of Liability

NSD and its affiliates, partners, directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, data, or other intangible losses arising from your use of our services.

Modifications and Termination

NSD reserves the right to modify, suspend, or terminate any part of our services at any time without prior notice. We may also update these Terms from time to time, and the updated version will be effective upon posting on our website. It is your responsibility to review these Terms periodically. NSD may feature sponsors or advertisements on its platform, including but not limited to the website, software, or other associated materials. The presence of such sponsors or advertisements does not constitute a guarantee of their products or services by NSD.

While we strive to ensure the authenticity and quality of our sponsors and advertisements, it is your responsibility to exercise your own judgment and discretion when engaging with them. NSD shall not be held liable for any loss, damage, or harm resulting from your interactions or transactions with sponsors or advertisers featured on our platform.

Any promotional content or materials provided by sponsors or advertisers are solely their responsibility. NSD does not assume any liability for the accuracy, completeness, or legality of such content or materials.

By accessing or using our services, you acknowledge and agree that NSD is not responsible for the actions, products, services, or content of any sponsors or advertisers, and you release NSD from any claims or damages, known or unknown, arising out of or in any way connected with your interactions with sponsors or advertisers.

NSD reserves the right to modify, remove, or add sponsors or advertisements at its sole discretion without prior notice or liability.

This endorsement clause supplements the existing Terms of Service and is integral to your agreement with NSD.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where NSD is registered, without regard to its conflict of law provisions.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and NSD, superseding any prior agreements or understandings, whether oral or written, relating to the subject matter herein.
